Die Entwicklung des Menschen und der Gesellschaft reicht viele Millionen Jahre zurück. Zu jeder Zeit war und ist der Mensch bestrebt, neue Hilfsmittel zu erfinden, die ihm sein Leben erleichtern. Sehr oft entstanden diese auch per Zufall. Beispielhaft sei hier die Entdeckung des Teflons genannt, welches seinen Ursprung im Jahre 1851 hatte, als John Gorre ein Patent für ein ״Gerät zur künstlichen Produktion von Eis bei tropischen Temperaturen“1 anerkannt bekam. Es war die Geburtstunde des Kühlschranks. Problematisch war jedoch bei den ersten Geräten, dass die verwendeten Kühlmittel sich durch vorhandene Leckagen in den Leitungen verflüchtigten, sich in den Küchen ausbreiteten und zu einem hochexplosiven Gas-LuftGemisch reagierten. Da dieser Umstand beseitigt werden musste, sollten neue Kühlmittel erfunden werden. Hierzu gründeten unter anderem General Motors (GM) und DuPont ein Joint Venture und stellten eine solche Flüssigkeit namens Freon her. Aus patentrechtlichen Gründen durfte jedoch nur die Frigidaire-Sparte von GM deren Kunde sein. Vor diesem Hintergrund beauftragte DuPont seinen Forscher Roy Plunkett mit der Erforschung eines alternativen Kältemittels. Hierzu benötigte er das Gas Tetrafluor ethyl en, welches er in Stahlflaschen bei etwa minus 80 Grad lagerte, da es dann in flüssigem Zustand war. Bei einer VersuchsanOrdnung wurde daraufhin festgestellt, dass sich das Tetrafluor ethyl en in den Stahlflaschen polymerisiert hatte und es die Stahlflasche regelrecht auskleidete. Das Teflon war entdeckt und wurde von nun an vielfältig eingesetzt, wie beispielsweise in den Beschichtungen von Pfannen.2
Dieses Beispiel zeigt, wie durch eine zufällige Entdeckung neues technologisches Wissen generiert und dadurch innovative Produkte erfolgreich am Markt verwertet werden können. Das Thema Innovation hat gerade im Jahr 2004 eine aktuelle Bedeutung erlangt, da es Bundeskanzler Gerhard Schröder zum Jahr der Innovation ausgerufen hat.3 Jedoch muss sich Deutschland nicht verstecken. Es steht an der Spitze der relevanten Patentanmeldungen im Weltmarkt und ist auf Platz zwei der Technologieexporteure.4 Dies darf allerdings nicht zu dem Schluss führen, dass ein Unternehmen den vorhandenen Wettbewerbsdruck nur überlebt, wenn es entweder günstigere oder bessere Produkte als die Konkurrenz anbietet.5 Vielmehr ist es die Fähigkeit, mit dem Innovationsvermögen richtig umzugehen. So wird beispielsweise der Automobilindustrie vorgeworfen, dass innovative Produkte erst einer konkre- ten Vermarktungsüberlegung unterzogen werden, wenn diese fertig entwickelt sind. Ebenso stellten Kalkulationen und Planungen für Innovationen lediglich eine nachträgliche Legitimation für deren Entwicklung dar.6 Diese Problematik erkennt auch Peter Berggren, Leiter e-Platform Strategy bei Sony Europe: ״ Vielleicht ist die Innovationskraft der einzige Faktor, der einem Land wie dem Ihren im Wettbewerb der Nationen noch bleibt. Die Ingenieurkompetenz, die Marke, das Design alleine werden einen solchen Vorsprung kaum noch begründen. Es ist vielmehr die effektive Vernetzung all dieser Kriterien zu kreativen Wertschöpfungsnetzwerken, die einem Land wie Deutschland aus der Krise helfen kann. “7 Ziel muss es also sein, nicht nur die richtigen Dinge zu tun, sondern auch diese richtig zu tun, also sozusagen die Innovation der Innovationen voranzutreiben.8
Vor dem zuvor genannten Hintergrund ist es unter anderem die Aufgabe des Technoi Ogi ema- nagements, das im Unternehmen entstandene technologische Wissen in irgendeiner Art und Weise effizient in ein innovatives Produkt, Verfahren oder eine neuartige Dienstleistung zu überführen, die wie das Teflon dem Kunden einen Nutzen stiftet und dem Unternehmen gleichzeitig die Möglichkeit eröffnet, sich von seinen vorhandenen und potentiellen Konkurrenten abzuheben.9 Hierzu bieten sich verschiedene Verwertungsmöglichkeiten des technologischen Wissens an, die bei Durchführung jedoch einen unterschiedlichen Wertbeitrag für das Unternehmen und somit für dessen Anteilseigner (Shareholder) liefern.10 Ziel des Innovationsmanagers muss es daher sein, diejenige Verwertungsform zu identifizieren, welche den höchsten Wertbeitrag liefert.
Das mit dieser Arbeit verfolgte Ziel ist, den Spin-Off als eine Möglichkeit zur Verwertung des technologischen Wissens zu untersuchen und dem Innovationsmanager ein Instrument mit an die Hand zu geben, mit welchem es ihm gelingt, bereits nach der Ideengenerierung die wirtschaftlichste Verwertungsform zu prognostizieren.
Hierzu werden im zweiten Kapitel zuerst die relevanten Begriffe, wie Spin-Off Technologie und Verwertung, definiert und abgegrenzt. Dabei werden die charakteristischen Eigenschaften eines Spin-Offs detailliert untersucht, da diese in einem späteren Kapitel der Arbeit bedeutsam sind. Des Weiteren erfolgt eine Einordnung der Problemstellung in den Prozess der Strategischen Planung sowie eine kurze Übersicht über verschiedene Verfahren zur Strategie- be Wertung.
Das dritte Kapitel befasst sich mit diversen Unternehmensbewertungsverfahren. Dabei konzentriert sich der Verfasser auf das Ertragswertverfahren nach IDW SÍ, das Discounted Cashflow Verfahren (DCF), das Multiplikatorverfahren und das Realoptionsverfahren. Eine Untersuchung, inwiefern diese Verfahren vor dem Hintergrund der zuvor dargestellten Problemstellung geeignet sind, eine Strategiebewertung vorzunehmen, runden diesen Teil der Arbeit ab. Verschiedene Innovations- bzw. Verwertungsprozesse und deren Besonderheiten, wie beispielsweise deren anhaftendes Risiko sowie die Irreversibilität von Entscheidungen, werden im vierten Kapitel untersucht. Die Bedeutsamkeit des Faktors Zeit im Verwertungsprozess wird abschließend herausgearbeitet.
Im fünften Kapitel erfolgt die Darstellung eines Bewertungsmodells, welches von einem Autorenteam speziell für die Biotechnologiebranche entwickelt wurde. Anschließend wird dieses Modell auf das der Arbeit zugrunde liegende Entscheidungsproblem übertragen und ein eigenständiges Konzept für die Auswahl der wirtschaftlichsten Verwertungsform technologisehen Wissens erarbeitet. Da in diesem Konzept unter anderem das Realoptionsverfahren als Strategiebewertungsverfahren zum Einsatz kommen soll, wird dieses anhand einer Fallstudie erklärt.
Im sechsten Kapitel schließt sich die Untersuchung der relevanten Werttreiber des Unternehmenswertes an, welche sich aus dem erarbeiteten Bewertungskonzept ergeben. Dabei werden in einem ersten Teil die Werttreiber analysiert, die bei Anwendung des DCF-Verfahrens den Untemehmenswert und somit auch die Auswahl der entsprechenden Entscheidungsform beeinflussen, und in einem zweiten Teil wird die Überprüfung der relevanten Werttreiber bei Verwendung des Black/Scholes-Modells zur Realoptionsbewertung vorgenommen. Abschließend erfolgt die Implementierung des theoretischen Bewertungskonzeptes in ein Ex- cel-Tool, sowie die kritische Diskussion der Ergebnisse der Arbeit in Form eines Fazits.
Damit diese Arbeit nicht nur rein theoretischer Natur ist, wurden Gespräche mit Praktikern der Robert Bosch GmbH, der Fraunhofer Gesellschaft und des Max-Planck-Instituts geführt. Die Inhalte und Ergebnisse dieser Interviews fließen mit in die Untersuchung ein und werden im Anhang zusammenfassend dargestellt.
Um die nachfolgende Betrachtung verständlich darzulegen, sollen an dieser Stelle die relevanten Begriffe geklärt werden. In einem ersten Teil wird analysiert, wie der Spin-Off in der Literatur definiert und abgegrenzt wird und vom Autor dieser Arbeit nachfolgend Verwendung findet. Daran anschließend werden die charakteristischen Eigenschaften eines Spin-Offs sowie seine Bedeutung im Rahmen der Verwertung technologischen Wissens dargestellt und abschließend das der Arbeit zugrunde liegende Strategiebewertungsverfahren vorgestellt.
Der Begriff des Spin-Offs stammt aus dem angelsächsischen Sprachraum und hat im deutsehen Sprachgebrauch unterschiedliche Bedeutungen, wie in nachfolgender Abbildung aufge-

In der Mehrheit der untersuchten Literatur wird der Begriff Ausgliederung zur Erklärung eines Spin-Offs verwendet. Allerdings gibt es bei der genaueren Definition erhebliche Unterschiede. Nathusius ordnet den Spin-Off dem externen Venture-Management zu, welches er als eine strategische Aktivität bezeichnet, ,,/.../ die als Objekt die Teilnahme einer Mutter ge- Seilschaft an Gründungen neuer Gliedbetriebe oder selbständiger Unternehmungen [...] zum Gegenstand hat. “11
Daraus leitet er im weiteren Sinne ab, dass der Spin-Off als ״ Transfer von Produkten, Leistungen und Know-how aus Unternehmungen, Forschungseinrichtungen etc. zu anderen An- Wendern“12 gilt. Im engeren Sinne grenzt er die Spin-Offs auf die Fälle ein, bei denen ehemalige Mitarbeiter einer Muttergesellschaft bzw. eines Inkubators eine technologiebasierte Un- temehmensgründung durchführen.13 Innerhalb der Gruppe Spin-Off unterscheidet er in geförderte Spin-Offs und in Split-Offs. Während bei letzteren eine Gründung ohne Billigung und Unterstützung der Mutter durchgesetzt wird, wird durch die Zustimmung und Förderung des Spin-Offs derselbige zu einem möglichen Instrument der Unternehmensentwicklung.14 Eine andere Betrachtung liefern Khan und Mehta. Das Autorenteam untersucht freiwillige Desinvestitionsentscheidungen und unterscheidet dabei die beiden Formen des Spin-Offs und des Seil-Offs. Nach ihnen ist ein Spin-Off nichts anderes als die Gründung eines neuen Unternehmens, dessen Aktien an die bereits vorhandenen Anteilseigner der Mutter verteilt werden, wobei ein neues Managementteam die Geschäftsführung übernimmt. Ein Seil-Off ist hingegen eine vollständige Abtretung eines Unternehmensteils an einen Investor bzw. Käufer. Die Autoren führen an, dass generell freiwillige Desinvestitionen getätigt werden, wenn das Unternehmen einen missglückten Erfolg hinnehmen musste, über zu geringe Zahlungszuflüsse (Cashflows) verfügt oder durch ein unangemessenes hohes finanzielles oder operatives Risiko gekennzeichnet ist. Des Weiteren zeigen sie daraus abgeleitet auf, wann ein Spin-Off und wann ein Seil-Off als Desinvestitionsform herangezogen wird: ״[■■■] a candidate-for- divestiture division with high operating risk is divested through spin-off and the one with low operating risk is divested through sell-off. ”15
Während die zuvor genannten Begriffsabgrenzungen noch recht allgemein gehalten sind, versuchen Autoren wie Lehmair und Maselli die Abgrenzung des Spin-Offs mittels spezieller Kriterien durchzuführen. Nach Lehmair ist dieser äquivalent zur Ausgründung im Bereich des Corporate Venture Managements und dann vorhanden, wenn folgende Charakteristika zutreffend sind:
- Es erfolgt die Gründung eines neuen Unternehmens.
- Es handelt sich dabei um eine originäre Gründung.
- Die Ursprungsorganisation ist erwerbswirtschaftlich tätig.
- Die Gründer stammen vom Mutteruntemehmen.
- Die kritischen Ressourcen werden von der Mutter zur Verfügung gestellt.
- Die kumulierten Eigentumsanteile aller Mutteruntemehmen sind nicht größer als 50 Prozent.16
Eine ähnliche Abgrenzung ist bei Maselli zu finden. Sie versteht unter Spin-Offs ״[...] innovotive Unternehmen, die von ehemaligen Mitarbeitern einer erwerbswirtschaftlichen17 Unternehmung aufgebaut werden. “18 Auch sie findet spezielle Kriterien, mit deren Hilfe sie den Spin-Off genauer definiert. Danach handelt es sich um einen solchen, wenn es sich um den Transfer einer innovativen Erfindung von einer bestehenden erwerbswirtschaftlichen Linter- nehmung durch ehemalige Mitarbeiter in eine neue Gründungseinheit handelt, die rechtlich und wirtschaftlich selbständig ist und bei der die Mutter höchstens eine Minderheitsbeteili- gung hält.19
Maselli geht dabei noch einen Schritt weiter als Lehmair, in dem sie zusätzlich zwischen so genannten Intangible Spin-offs, also Spin-Offs, ״[...] die vor allem auf innovativem Knowhow von Personen aufbauen, das im Rahmen der vorhergehenden Anstellung erworben wurde /.../“, und in Tangible Spin-Offs, bei denen ,,/.../ anwendungsreife Inventionen transferiert werden “20, unterscheidet.
Die Analyse der begrifflichen Abgrenzung zeigt, dass es keine allgemeingültige Definition des Spin-Offs in der Literatur gibt. Dies ist auf Grund der unterschiedlichsten Ausgliederungsmöglichkeiten, wie sie die einzelnen Autoren darlegen, auch gänzlich utopisch. Es erscheint daher sinnvoll, ausgehend von der jeweiligen Betrachtungsweise eine entsprechende Definition zu finden, welche den der Situation angepassten Kriterien des Spin-Offs am besten gerecht wird.
Vor dem Hintergrund des mit dieser Arbeit verfolgten Zieles soll der Spin-Off nachfolgend als Ergebnis eines Prozesses zur externen Verwertung des angehäuften technologischen Wissens von Mitarbeitern eines erwerbswirtschaftlich tätigen Mutterunternehmens verstanden werden. Unterscheiden lassen sich die Spin-Offs in Split-Offs und in geförderte Spin-offs21 Letztere können wiederum unterteilt werden in formale Spin-Offs und informale Spin-Offs. Während bei letzteren keine vertraglichen Verpflichtungen gegenüber der Mutter bestehen, werden bei den formalen Spin-Offs die Rechte und Pflichten von Mutter und Tochter detailliert vertraglich festgesetzt.22 Denkbar sind hier unter anderem die Beteiligung der Mutter an der Ausgründung, die Überlassung von Risikokapital mit der Option, den Spin-Off in späteren
Lebenszyklusphasen wieder einzugliedern und andere längerfristige vertragliche Regelungen der Geschäftsbeziehungen, wie beispielsweise Lieferantenverträge, Beschaffungskooperationen usw.23 Eine Unterscheidung in tangible und intangible Spin-Offs wird ebenfalls vorgenommen, da die Speicherung des Wissens durch Patentierung eine Invention voraussetzt.24

2.2 Bewertungsrelevante Eigenschaften eines Spin-Offs
Damit im dritten Kapitel eine Entscheidung darüber getroffen werden kann, welches Bewertungsverfahren sich für einen Spin-Off besonders eignet, gilt es zuvor, die für die Bewertung relevanten charakteristischen Eigenschaften herauszuarbeiten. Dabei bietet es sich an, von der im vorangegangenen Kapitel dargestellten Definition von Lehmair auszugehen, der die Gründung eines neuen Unternehmens als Ausgangspunkt für einen Spin-Off angibt.25 Somit sind die charakteristischen Eigenschaften eines jungen Unternehmens äquivalent mit denen eines Spin-Offs.26 Viele Autoren haben sich mit diesem Thema beschäftigt und dabei zahlreiche Charakteristiken identifiziert, welche ein junges Unternehmen von einem etablierten unterscheiden. Messeghem gibt an, dass erstere über eine relativ einfache OrganisationsStruktur verfügen, sie meist nur in lokalen Märkten tätig werden, der EigentümerUnternehmer den entscheidenden Einfluss auf die Strategie hat und der Planung und Kontrolle wenig Beachtung geschenkt wird.27 Nach Sturm sind junge Unternehmen durch ein geringes Maß an Sachanlagen und ein überdurchschnittliches Umsatz- und Gewinnwachstum ge- kennzeichnet, welches sie durch das Anbieten neuer Produkte oder Dienstleitungen in neuen, selbst erschlossenen Absatzmärkten generieren.28
Hayn29 und Müller30 identifizieren und analysieren die charakteristischen Eigenschaften im Hinblick auf deren Einfluss auf bestimmte Bewertungsmethoden. Daher lehnt sich diese Arbeit an die Ergebnisse der beiden Autoren an und kombiniert diese teilweise mit denen von Knecht31, so dass die in der nachfolgenden Abbildung dargestellten Charakteristika Verwendung finden.

Auf Grund der Ausgründung verfügt der Spin-Off über keine wirtschaftliche Historie. Es liegen also keinerlei Vergangenheitsdaten und Erfahrungswerte vor. Damit geht ein kaum aussagefähiges Rechnungswesen einher, welches üblicherweise aus Finanzbuchhaltung, Kostenrechnung, Statistik, Vergleichsrechnungen und Planungsrechnungen besteht.32 Da die Geschäftsgrundlage dieser Spin-Offs meist innovative technologische Produkte oder Dienstleistungen darstellen und noch kein Markt für selbige vorhanden ist, hat das neu gegründete Unternehmen enorme Aufwendungen für Forschung und Entwicklung (FuE) sowie für die Markterschließung und den organisatorischen Aufbau zu leisten.33 Gleichzeitig muss es sich gegen weitere Markteintritte potentieller Wettbewerber durch Patente und weiterentwickelte Produkte absichern. Somit ist es einer enormen Marktdynamik ausgesetzt und muss daher seine Strategie flexibel an Veränderungen angleichen können. Diese Flexibilität ist aber wiederum abhängig vom Management und kann nicht unabhängig betrachtet werden. Denn nur wenn der Gründer oder das Gründerteam anpassungsfähig agieren ist auch das Unternehmen dynamisch genug, um neuen Herausforderungen gewachsen zu sein.34 Jedoch bringt die hohe Dynamik und die immer weiter voranschreitende Globalisierung der Märkte weitere Risiken mit sich, die in ihrem Eintrittszeitpunkt, ihrer Eintrittswahrscheinlichkeit und -höhe nur schwer abschätzbar sind.
Weitere charakteristische Eigenschaften von Spin-Offs sind denkbar, werden in der Literatur auch genannt, führen aber nur zu einer zusätzlichen Komplexität, können teilweise unter den zuvor genannten Punkten subsumiert werden und werden daher nicht weiter verfolgt. Viel wesentlicher ist im Folgenden die Untersuchung, inwiefern ein Spin-Off eine Möglichkeit darstellt, das im Unternehmen vorhandene technologische Wissen extern zu verwerten.
Damit überprüft werden kann, ob der Spin-Off eine Möglichkeit darstellt, das im Unternehmen vorhandene Wissen extern zu verwerten, müssen auch hier zuerst die Begriffe Verwertung und technologisches Wissen genauer definiert werden.
Generell ist Wissen eine sehr wichtige Ressource für ein Unternehmen35, wodurch es heutzutage neben Boden, Kapital und Arbeit als vierter Produktionsfaktor angesehen wird.36 Nach Probst, Raub und Romhardt ist Wissen als die Gesamtheit der Erfahrungen, Kenntnisse und Fähigkeiten zu verstehen, die Personen zum Lösen von Problemen einsetzen.37 Das bedeutet, dass Wissen nichts anderes darstellt als die zweckorientierte Vernetzung von Informationen.38 Dabei lassen sich zwei Arten von Wissen unterscheiden. Zum einen das so genannte implizite Wissen oder auch tacit knowledge genannt, welches auf den persönlichen Erfahrungen oder den entwickelten Prozessen innerhalb eines Unternehmens basiert, und zum anderen das explizite Wissen, welches gespeichert und somit auch anderen Personen weitergegeben werden kann.39 Ebenso häufig findet der Begriff Technologie in der Literatur AnWendung und wird ebenfalls nicht trennscharf definiert. Knecht versteht ״[...] unter einer Technologie eine spezielle Anwendung von natur- beziehungsweise ingenieurwissenschaftlichem Wissen oder auch die technische Kompetenz zur Lösung einer konkreten Problemstel- lung[...]. “40
Die verschiedenen Definitionen von Wissen und Technologie zeigen, dass eine genaue Abgrenzung kaum möglich ist. Boyens geht sogar so weit und verwendet die Begriffe syn- onym.41 Dem kann allerdings nicht zugestimmt werden, da eine Technologie voraussetzt, dass der Träger des Wissens auch weiß, wie er dieses zum Aufbau und zur Fortentwicklung der Technologie anwendet.42 Daher spricht man in diesem Zusammenhang auch von Know- how.43
Der Begriff Verwertung findet vorrangig im Rahmen des Umweltmanagements Anwendung. Als Ausgangspunkt sei hier das Gesetz zur Förderung der Kreislaufwirtschaft und Sicherung der umweltverträglichen Beseitigung von Abfällen (KrW/AbfG) genannt, welches definiert, was unter der Verwertung von Abfällen zu verstehen ist.44 Danach ist die Verwertung eine Unterart der Entledigung von Abfällen. Eine Entledigung und damit eine Verwertung ״[...] ist hinsichtlich solcher beweglicher Sachen anzunehmen, die bei der Energieumwandlung, Herstellung, Behandlung oder Nutzung von Stoffen oder Erzeugnissen oder Dienstleistungen anfallen, ohne dass der Zweck der jeweiligen Handlung hierauf gerichtet ist, oder deren ursprüngliche Zweckbestimmung entfällt oder aufgegeben wird, ohne dass ein neuer Verwendungszweck unmittelbar an deren Stelle tritt. “45 Diese Definition impliziert, dass die für die Verwertung vorgesehenen Gegenstände bzw. Abfallprodukte keine originäre Mittel-ZweckBeziehung aufweisen und somit nutzlos sind. Durch die Verwertung bzw. durch den Verwertungsprozess wird eine solche Beziehung hergestellt.46 Diese rein theoretische Überlegung soll anhand eines Beispiels veranschaulicht werden.
Beispiel:
Die Herstellung eines Bücherregals erfordert als Mittel den Einsatz von Holz. Der Zweck eines Bücherregals ist das Lagern von Büchern. Bei der Herstellung des Bücherregals entstehen durch das Zuschneiden des Holzes Sägespäne. Sie stellen ein Derivat dar und stiften in ihrem originären Zustand keinen Nutzen. Durch einen aufwendigen Verwertungsprozess entstehen daraus aber Spanplatten (Mittel), die unter anderem beim Küchenbau (Zweck) eingesetzt werden können.
Diese Überlegungen lassen sich nun auch auf das technologische Wissen übertragen. Ist im Rahmen der Forschung neues technologisches Wissen entstanden, welches nicht eigentliches Ziel der Forschung war oder welches in seiner Art ohne einen entsprechenden Verwertungsprozess nicht angewendet werden kann, dann Stehen einem Unternehmen verschiedene Möglichkeiten offen, mit diesem Wissen umzugehen. Die erste ist, das Wissen intern zu verwerten. Das bedeutet, das Unternehmen entwickelt aus dem vorhandenen Wissen neue Produkte, Dienstleistungen oder Prozesse. Damit geht eventuell auch der komplette Neuaufbau eines strategischen Geschäftsfeldes einher. Zweitens ist es möglich, das Wissen keiner Verwertung zu unterziehen. Eng damit verbunden kann die Option der Speicherung bzw. der Sicherung des Wissens sein, um es gegebenenfalls zu einem späteren Zeitpunkt zu verwerten.47 Die bekannteste Form ist hierbei die Patentierung. Diese gibt dem Inhaber des Patentes das Recht, maximal 20 Jahre alleine über seine Erfindung zu verfügen.48 Die vierte Alternative besteht darin, das Wissen extern zu verwerten. Boyens definiert diese Form der Verwertung als ״[...] die vom Unternehmen geplante Überlassung technologischen Wissens an ein anderes rechtlieh und wirtschaftlich selbständiges Unternehmen. “49 Weiter gibt er an, dass eine geplante Überlassung nur dann vorliegt, wenn das Unternehmen ausschließlich die Alternative der intemen Wissensverwertung hat und sich gegen diese entscheidet.50 Hierzu ist kritisch anzumerken, dass ein Unternehmen sehr wohl die Möglichkeiten der Wissensspeicherung und der Wissensentsorgung hat und im Rahmen eines Planungsprozesses auch diese mit berücksichtigen sollte.51 Innerhalb der externen Verwertung technologischen Wissens unterscheidet Boyens in die formale externe Verwertung und in die informale externe Verwertung. Zur formalen externen Verwertung, bei welcher die Gegenleistung für die Überlassung des Wissens vertraglich geregelt ist, gehören beispielsweise der Verkauf eines Patentes oder die Vergabe von Lizenzen. Bei der informalen externen Verwertung erfolgt eine Gegenleistung meist nur durch eine moralische Verpflichtung.52
Per Definition ist der Spin-Off das Ergebnis eines Prozesses zur externen Verwertung des angehäuften technologischen Wissens ehemaliger Mitarbeiter eines erwerbswirtschaftlich tätigen Mutterunternehmens. Das heißt, das Wissen wird von den ehemaligen Mitarbeitern durch praktische Anwendung und durch die Gründung eines neuen Unternehmens verwertet. Je nach dem wie die wirtschaftliche und rechtliche Verknüpfung zwischen dem Spin-Off und dem Mutteruntemehmen ausgestaltet ist, lässt er sich entweder der formalen oder der informalen Verwertung technologischen Wissens zuordnen.53
Zusammenfassend ist festzustellen, dass der Spin-Off eine Möglichkeit zur Verwertung technologischen Wissens darstellt, es aber durchaus auch Alternativen gibt. Diese verschiedenen Möglichkeiten gilt es im Rahmen der strategischen Unternehmensplanung auf ihre Durchführbarkeit und Wirtschaftlichkeit hin zu überprüfen und die Beste auszuwählen. Wie eine solche Altemativenbewertung und -auswahl aussehen kann, wird im nächsten Abschnitt dargestellt.
Wie zu Beginn der Arbeit bereits genannt wurde, stellt die Bewertung und letztendlich die Auswahl einer Untemehmensstrategie und das Herunterbrechen auf Teilstrategien einen wichtigen Punkt dar, um dem Shareholder Value Gedanken gerecht zu werden. Die Auswahl der richtigen Strategie erfolgt im Rahmen der Strategischen Planung, welche sich aus sechs Phasen zusammensetzt, die in folgender Abbildung dargestellt sind.54.

Zu Beginn des strategischen Planungsprozesses steht die Analyse55 Diese lässt sich unterscheiden in eine externe und eine interne Analyse. Ziel dieser Phase ist es, die aktuelle und die zukünftige Situation des Unternehmens zu erforschen. Ausgehend von den Erkenntnissen dieser Phase erfolgt dann die Festlegung von qualitativen und quantitativen Zielen in der Ziel-Phase. Sind diese Ziele festgelegt, gilt es Strategien zu entwickeln, mit deren Hilfe diese Ziele erfolgreich umgesetzt werden können. Dabei wird die Untemehmensstrategie auf die einzelnen Geschäftsfelder und die Funktionalbereiche hemntergebrochen. Zwar können verschiedene Strategien die angestrebten Ziele erreichen, oftmals kommt es jedoch zu Zielkonflikten und somit ineffizienten Strategien. Daher muss in einer vierten Phase eine Strategiebewertung erfolgen, welche schließlich mit der Auswahl einer Strategie endet. Hier lassen sich qualitative und quantitative Bewertungsverfahren unterscheiden. Ein quantitatives Verfahren ist beispielsweise die Investitionsrechnung. Dabei entscheidet sich das Management ״[...]für diejenige Strategie, die den höchsten Kapitalwert oder die höchste Rendite erzielt. “56 Eine Möglichkeit zur qualitativen Bewertung der Strategie sind Kriterienkataloge. Hierauf und auf andere denkbare Verfahren zur Strategiebewertung wird in dieser Arbeit nicht eingegangen, sie sollen aber dennoch kurz aufgezeigt werden.57

Hat die Bewertung nun zur Auswahl einer Strategie geführt, so wird diese in der letzten Phase umgesetzt.58 Während des kompletten Prozesses der strategischen Planung ist eine kontinuier- liehe Kontrolle notwendig, welche sich in Prämissenkontrolle, Durchführungskontrolle und in strategische Überwachung unterteilen lässt. Nur so ist es möglich, Zielabweichungen rechtzeitig zu erkennen und dementsprechende Gegenmaßnahmen zu ergreifen.59 Wie bereits zuvor ausgeführt, bieten sich verschiedene Bewertungsmethoden an, um eine Strategieauswahl zu treffen. Diese Arbeit beschränkt sich dabei lediglich auf ein quantitatives Verfahren, nämlich auf die Berechnung des Unternehmenswertes, welcher gerade vor dem Hintergrund des wertori enti erten Managements zunehmend an Bedeutung gewinnt. Demnach existiert ein Unternehmen unter anderem, um dem Shareholder eine entsprechende Verzinsung seines eingebrachten Kapitals zu sichern. Ziel muss es also sein, den Shareholder Value zu erhöhen oder zumindest zu erhalten. Daraus folgt, dass diejenige Strategie einzuschlagen ist, die den höchsten Unternehmenswert bzw. Wertbeitrag liefert.60 Um eine umfassende Untersuchung zu gewährleisten, müssen alle einzelnen Verwertungsmöglichkeiten des technologischen Wissens überprüft und deren Auswirkungen auf den Unternehmenswert untersucht werden.
Im folgenden Kapitel werden zuerst die verschiedenen praxisrelevanten Unternehmensbewertungsmethoden vorgestellt. Anschließend wird überprüft, inwiefern sich diese mit den zuvor analysierten charakteristischen Eigenschaften eines Spin-Offs vereinbaren lassen und welche am besten geeignet ist, eine Strategiebewertung vorzunehmen.
In der Literatur werden verschiedene Methoden zur Bewertung von Unternehmen und Unternehmensteilen diskutiert und für die praktische Anwendung empfohlen. Keine von ihnen kann uneingeschränkt für jeden Bewertungsanlass Verwendung finden. Es ist somit die Aufgabe des Bewerters, für den jeweiligen Bewertungszweck die geeignetste Bewertungsmethode zu identifizieren, welche aber gleichzeitig den Grundsätzen ordnungsmäßiger UnternehmensbeWertung (GoUs) entsprechen muss.61 Das heißt sie muss unter anderem wissenschaftlich fundiert und in die Praxis umgesetzt und anerkannt sein. Dennoch gibt es nicht die einzige richtige Bewertungsmethode. Vielmehr ist es bedeutend, dass sich der Bewerter mit der Vergangenheit des Unternehmens und mit der zukünftigen Entwicklung genau beschäftigt.
Zur Vergangenheitsanalyse dienen unter anderem Jahresabschlüsse und interne Kostenrechnungen. Die Analyse der Zukunft lässt sich unterteilen in eine Umweltanalyse und eine interne Analyse des zu bewertenden Unternehmensteils. Dabei bieten sich bei der qualitativen Untersuchung spezielle Verfahren an, wie bspw. die Branchenstrukturanalyse von Porter bei der externen Betrachtung und bei der internen die Wertschöpfungskette, welche ebenfalls Porter entstammt. Planbilanzen, Plan-Gewinn-und-Verlustrechnung und Plankostenrechnungen kommen dagegen bei der quantitativen Analyse der zukünftigen Entwicklung zum Einsatz.62 Eine erste Einteilung der Bewertungsverfahren ist danach möglich, ob es sich um eine Bruttorechnung oder eine Nettorechnung handelt. Bei ersteren wird der gesamte Wert des Unternehmens berechnet und davon der Wert des Fremdkapitals subtrahiert, um zum eigentlichen Wert des Eigenkapitals zu gelangen, während bei der Nettorechnung der Eigenkapitalwert direkt ohne Umweg ermittelt wird.63
Im nachfolgenden Abschnitt werden einige Bewertungsverfahren vorgestellt und dahingehend überprüft, in wieweit sie sich für die Strategieauswahl in Bezug auf die Verwertung technologischen Wissens eignen. Betrachtet werden dabei das Ertragswertverfahren nach IDW SÍ, die Discounted Cashflow-Verfahren, zwei Multiplikatorverfahren sowie der Realoptionsansatz, welcher in jüngster Zeit vermehrt als Möglichkeit zur Bewertung junger technologischer Un- temehmen diskutiert wird. Die Verwendung von Substanzwert, Liquidationswert, Börsenkurs
oder Mischverfahren zur Ermittlung von Unternehmenswerten wird hier nicht betrachtet, da diese in der neueren wissenschaftlichen Literatur nur vereinzelt Würdigung finden.
Der Ertragswert ist der Wert64, der entsteht, wenn ein Gut oder in diesem Fall ein Untemeli- men Leistungen oder Produkte hervorbringt und damit Ertrag erwirtschaftet, bzw. genauer ״[...] der Barwert aller zukünftigen Erfolge der Unternehmung. “65 Dieser ist unter anderem von der Nutzungsdauer der Güter und der zukünftigen Entwicklung auf dem Absatzmarkt abhängig. In der wissenschaftlichen Theorie werden drei unterschiedliche Werttheorien zur Vorgehensweise der Bewertung herangezogen.
Dies ist erstens die Objektive Werttheorie. Diese geht davon aus, dass dem Unternehmen ein Wert wie eine Eigenschaft anhaftet. Die zweite ist die so genannte Subjektive Werttheorie, welche den Wert der Güter aus ihrem Gebrauchswert ableitet. Er spiegelt also den Nutzen wider, den das Gut einem Subjekt stiftet. Die Funktionale Werttheorie geht davon aus, dass der Wert aus den jeweiligen Zielen des Bewertenden abgeleitet wird. Damit sind nun die BeWertungsanlässe Ausgangspunkt für die Bewertung und somit soll der Gegensatz zwischen der objektiven und der subjektiven Werttheorie überwunden werden.66 Die subjektive und objektive Werttheorie sind bereits seit längerer Zeit starker Kritik ausgesetzt und überholt. Aber auch die funktionale Bewertungslehre wird zunehmend kritisiert. Unter anderem deswegen, weil die immer weiter zunehmende Bedeutung der Bewertung von Strategien im Hinblick auf die Steigerung des Shareholder Value nicht in die vorhandenen Bewertungsfunktionen integriert werden kann.67
Nach dem Shareholder Value Konzept von Rappaport ist das einzige Ziel eines Untemeh- mens, den Nutzen des Anteilseigners und damit die an ihn ausschüttbare Dividende zu maximieren. Er selbst möchte zusätzlich eine seinem eingegangenen Risiko entsprechende Verzinsung seines eingebrachten Kapitals. Ist das Unternehmen nicht in der Lage, die geforderte Dividende und Rendite zu erbringen, so wird sich der Shareholder für eine alternative Investition entscheiden.68 Somit ist eine Unternehmensbewertung nichts anderes als eine Investiti- onsrechnung und wird daher ebenso formal abgebildet.69 Nachfolgende Formel zeigt den grundsätzlichen Aufbau der Kapitalisierungsmodelle:70

Der Untemehmenswert ermittelt sich demnach durch die zukünftig zu erwartenden Zuflüsse der einzelnen Perioden an die Shareholder, welche mit einem Zinssatz abdiskontiert werden. Problematisch ist dabei die Berücksichtigung von zukünftigen Risiken, die unternehmensspezifisch und marktspezifisch induziert sind. Je weiter die Planungen im Rahmen der Unternehmensbewertung in die Zukunft reichen, umso unsicherer werden die zukünftigen prognostizierten Zuflüsse.71
Daher erscheint es sinnvoll, dieses Prognoseproblem zu strukturieren und in der oben genannten Formel abzubilden. Dazu bieten sich Phasenmodelle an. Hier wird der gesamte Betrachtungszeitraum in einzelne Phasen eingeteilt, in denen jeweils mit verschiedenen Kapitalisierungsgrößen und Zinssätzen gerechnet werden kann. Dabei sollte die Einteilung der Phasen nicht willkürlich vorgenommen werden, sondern sich an bestimmten Meilensteinen der Un- temehmensentwicklung orientieren. Es ist jedoch zu beachten, dass, je mehr Phasen berücksichtigt werden, die Berechnung immer diffiziler und damit unübersichtlicher wird.72 Daher hat sich in der Praxis das Zwei-Phasen-Modell nach IDWSÍ durchgesetzt. Es berücksichtigt auf der einen Seite eine Detailplanungsphase von der Dauer von drei bis fünf Jahren, in welcher genauere Aussagen über die zu erwartenden Überschüsse und das Risiko möglich sind, sowie eine fernere Phase, in welcher eine unendliche Lebensdauer unterstellt wird und bei der davon ausgegangen wird, dass die Überschüsse nur noch mit einer konstanten Rate wachsen. Auf der anderen Seite ist es auf Grund der geringen Komplexität leicht nachvollziehbar73

Der erste Term der Formeln steht für die Detailphase und der zweite für die ferne Phase bzw. die ewige Rente. Die bedeutenden Variablen sind dabei die zukünftig zu erwartenden überSchüsse E, der Zinssatz i und die Steigerungsrate g. Im Folgenden werden E auch als Kapitalisierungsgröße, i als Basiszinssatz und (i-g) als risikoadjustierter Zinssatz bezeichnet.
Die Kapitalisierungsgröße ist das, was dem Shareholder tatsächlich zufließt. Somit handelt es sich beim Ertragswertverfahren nach IDW SÍ um ein Nettoverfahren, welches dem Zuflussprinzip folgt. Nach diesem dürfen nur diejenigen Beträge in einer Bewertung Berücksichtigung finden, die dem potentiellen Eigentümer auch tatsächlich zufließen.74 Dies bedeutet, dass auf Ebene der Gesellschaft die Gewerbesteuer und die Definitiv-Körperschaftsteuer zu berücksichtigen sind. Dabei spielt es eine Rolle, ob das Unternehmen teilweise fremdfinanziert ist. Ist dies der Fall, dann hat dieses Fremdkapitalzinsen zu entrichten, welche die Bemessungsgrundlage der Körperschaftsteuer vollständig mindern. Im Rahmen der GewerbeSteuer gelten diese Zinsen als Dauer schul den, welche zu 50 Prozent der Bemessungsgrundlage hinzuzurechnen sind. Somit ist der Cashflow bei einem teilweise fremdfinanzierten Unternehmen größer als bei einem vollständig eigenfmanzierten. Diese resultierende Untemeh- menssteuerersparnis wird auch als Tax Shield bezeichnet.75
Auf der Ebene des Eigentümers gelten diese Zuflüsse als Einkünfte aus Kapitalvermögen und unterliegen nach dem Halbeinkünfteverfahren der persönlichen Einkommensteuer76 Die Berechnung der Kapitalisierungsgröße wird in nachfolgender Abbildung verdeutlicht.
Bei der Ermittlung des Kapitalisierungszinssatzes ist zu beachten, ob es sich um eine objektivierte oder subjektive Entscheidungswertermittlung handelt. Erstere ist aber nicht gleichbedeutend mit der oben genannten Objektiven Werttheorie, sondern zielt vielmehr darauf ab, ״[...] dass bei der Wertermittlung das bestehende Unternehmenskonzept des Bewertungsobjektes zugrunde zu legen ist. “77
Steht nun aber das Unternehmen bzw. das Technologiemanagement vor der Entscheidung, das im Unternehmen entstandene Wissen auf irgendeine Art zu verwerten, dann wird das vorhandene Unternehmenskonzept eventuell nicht weiterverfolgt. Daher handelt es sich an dieser Stelle um keine objektive, sondern um eine subjektive Entscheidungswertermittlung, mit der das Ziel verfolgt werden soll, den Shareholder Value zu erhöhen. Das hat zur Folge, dass die von den Investoren gehegten Renditeerwartungen und Risikoeinschätzungen in den Kapitalisierungszinssatz einfließen müssen.
Ein weiteres ertragsorientiertes Bewertungsverfahren stellt das Discounted CashflowVerfahren dar, welches ebenfalls dargestellt werden soll.
Die Discounted Cashflow-Verfahren (DCF) stammen aus der angelsächsischen Bewertungspraxis, welche den Unternehmenswert durch die Diskontierung von Cashflows ermitteln. Grundsätzlich lassen sich drei Arten von DCF-Verfahren unterscheiden. Dies ist erstens der Entity-Ansatz. Hierbei handelt es sich um einen Bruttoansatz, welcher nochmals untergliedert werden kann in den Total-Cashflow-Ansatz und in den Free-Cashflow-Ansatz (WA CC- Ansatz). Zweitens der Adjusted Present Value-Ansatz (APV-Ansatz), der ebenfalls eine Bruttorechnung zu Grunde legt, und der Equity-Ansatz, welcher der einzige Nettoansatz innerhalb der DCF-Verfahren ist.78

Die Unterscheidung der einzelnen Verfahren kann teilweise sinnvoll sein, da sich diese jeweils für bestimmte Bewertungsaufträge einfacher anwenden lassen. Jedoch sollten alle drei zum gleichen Ergebnis kommen, sofern vorab eine detaillierte Analyse der Finanzdaten erfolgte und daraus die gleichen Bewertungsannahmen betreffend der zukünftigen Entwicklung abgeleitet wurden. Daher werden im Folgenden nicht alle Verfahren dargestellt, sondern lediglich das Free Cashflow Verfahren, da dieses in der Praxis am weitesten verbreitet ist.79 Die Ermittlung des Unternehmenswertes erfolgt ähnlich wie beim Ertragswertverfahren nach IDW SÍ. Der Unterschied besteht darin, dass als Kapitalisierungsgröße die Free Cashflows Verwendung finden und als Kapitalisierungszinssatz die gewichteten Kapitalkosten (WACC) herangezogen werden. Formal stellt sich dieser Sachverhalt wie folgt dar:80
Free Cashflow der Periode t. Durchschnittlich gewichtete Kapitalkosten. Wachstumsrate des Free Cashflow. Marktwert des Fremdkapitals.
Der Cashflow ist definiert als Saldo der Ein- und Auszahlungen eines Unternehmens. Es wird dabei unterschieden, ob dieser direkt oder indirekt ermittelt wird.81 Bei der direkten Ermittlung wird der Cashflow auf Basis der geplanten Ein- und Auszahlungen berechnet, während er bei der indirekten Berechnung aus den Periodenerfolgen resultiert.82 Hier werden ״nicht- zahlungswirksame Erträge und Aufwendungen eliminiert [...] und diejenigen Ein- und AusZahlungen, die nicht oder nur in verringertem Umfang als Ertrag oder Aufwand ihren Niederschlag gefunden haben, hinzugerechnet. “83
Neben der Berechnung des Cashflows ist die Berücksichtigung des Risikos im Kapitalisierungszins ein essentieller Faktor, der den Untemehmenswert beeinflusst. Der WACC kann dabei als gewichteter Durchschnitt der Kapitalkosten aus Eigen- und Fremdkapital verstanden werden und errechnet sich wie folgt:84

Zur Bestimmung der Eigenkapitalkosten wird meist auf das so genannte Capital Asset Pricing Model (CAPM) zurückgegriffen, das auf der Kapitalmarkttheorie beruht.85 Hiermit ist die Betrachtung der ertragsorientierten Bewertungsverfahren abgeschlossen und es folgt die Untersuchung der so genannten marktorientierten Methoden.
Das Multiplikatorverfahren ist ein marktorientiertes Bewertungsverfahren, da es auf den tatsächlich am Markt zustande gekommenen Preisen beruht.86 Generell wird der Wert eines vergleichbaren Unternehmens mit einer Bezugsgröße in Relation gesetzt. Das Ergebnis dient als Multiplikator für das Bewertungsobjekt und wird mit dessen Bezugsgröße multipliziert. Formal stellt sich dies wie folgt dar:87

Als Bezugsgröße bieten sich verschiedene Kennzahlen an. Bei kleinen und mittleren Unternehmen werden oftmals Umsatz oder Gewinn herangezogen.88 Dabei wird der Multiplikator meist nicht wie oben dargestellt berechnet, sondern es wird eine weit verbreitete Faustgroße eingesetzt.89 Für die Bewertung von Internetportalen kommt die Anzahl der User bzw. der Zugriffe pro Zeiteinheit als Vergleichsgröße zum Einsatz. Weiterhin finden Enterprise Vaine Multiplikatoren wie beispielsweise EBIT90, EBITDA91 und Capital Employed sowie Equity- Value-MuMpIikatoren wie zum Beispiel Cash Earnings, Kurs-Gewinn-Verhältnis (KGV) und der Eigenkapitalbuchwert Anwendung.92
Das Multiplikatorverfahren lässt sich nach Müller in drei Ansätze aufteilen. Der Similar Publie Company Ansatz betrachtet ein Vergleichsunternehmen, dessen Aktien an der Börse gehandelt werden. Beim Recent Acquisition Ansatz wird der tatsächlich bezahlte Preis bei einer getätigten Transaktion zum Vergleich herangezogen und bei der Initital Public Offering Methode sind die tatsächlich erzielten Emissionspreise Ausgangspunkt der Betrachtung.93 Der eigentliche Prozess der Unternehmensbewertung mittels Multiplikatoren ist bei allen drei Verfahren deckungsgleich:

Damit das Multiplikatorverfahren überhaupt zum Einsatz kommen kann, müssen einige Voraussetzungen erfüllt sein. Erstens müssen Informationen über das zum Vergleich herangezogene Unternehmen vorhanden und auch qualitativ verwertbar sein. Des Weiteren sollte ein funktionierender Markt für Untemehmenstransaktionen bestehen und die durchgeführte Transaktion darf nicht allzu weit in der Vergangenheit liegen, damit von einem ähnlichen Risikoprofil ausgegangen werden kann.94
Ein Vergleich zweier Unternehmen bzw. Untemehmensteile ist auch nur dann sinnvoll und führt bei der Bewertung zu einem befriedigenden Ergebnis, wenn sich beide Objekte nahezu ähnlich sind. Meistens werden jedoch mehrere Unternehmen einer Branche zu so genannten Peer-Groups zusammengefasst und aus ihnen Branchen-Multiplikatoren abgeleitet. Hierbei ist aber zu beachten, dass sie hinsichtlich der in folgender Abbildung dargestellten Kriterien eine Ähnlichkeit aufweisen sollten, um den Grundstein für eine möglichst homogene Zusam- mensetzung zu legen.95

Der Realoptionsansatz zur Bewertung von Unternehmen oder Unternehmensteilen ist ein innovatives marktorientiertes Bewertungsverfahren, welches in der neueren Literatur vermehrt diskutiert wird, da die traditionelle Kapitalwertmethode zunehmender Kritik ausgesetzt ist. Der elementarste Kritikpunkt ist, dass sie von einer Jetzt-oder-nie-Entscheidung bei der Investition ausgeht und somit den Wert von strategischen Handlungsspielräumen, also die Flexibilität des Managements, nicht oder nur unzureichend berücksichtigt.96 Dies wird zwar teilweise durch Sensitivitätsanalysen und Szenariotechniken versucht zu implementieren, gelingt in der Praxis allerdings nur schwer, da hier ebenfalls nur die Inputparameter variiert werden, nicht aber der unterschiedliche zeitliche Anfall von neuen Informationen berücksichtigt wird.97
Das mit dem Realoptionsansatz verfolgte Ziel ist, die Flexibilität der Investitionsentscheidungen mit in die Bewertung einfließen zu lassen, wodurch ein Chancen-Risiko-Profll entsteht, welches vergleichbar ist mit einer Finanzoption, die ein bedingtes Termingeschäft darstellt.
